I think he is tired of wrestling with the Ducati, he's getting older, he's done everything you can do in the sport and he has a brazillion dollars in the bank.
Maybe he's thinking this is a way to retire without losing face. People would look down on him if he quit, Ducati would sue if he broke his contract, but if he walks away because he was involved in the crash that killed his friend, there is no dishonor. Ducati would look bad if they sued, he just gets to go off and race F1 or something.

Since Rossi was never going to equal Agostini's motorcycle championships and wins, at least he completes what Agostini tried and never accomplished.
Rossi becomes first Rider to win MotoGP and F1 championships.
